BULLDOG WALLET TERMS AND CONDITIONS IN ORDER TO CREATE AN ACCOUNT WITH BULLDOG GAMING, LLC, YOU MUST BE 18 YEARS OF AGE OR OLDER AND AGREE TO THE FOLLOWING TERMS AND CONDITIONS. IF YOU ARE NOT 18 YEARS OR OLDER AND/OR DO NOT AGREE TO THESE TERMS, YOU MAY NOT CREATE OR USE A BULLDOG WALLET. PLEASE READ THESE TERMS CAREFULLY AND MAKE SURE YOU UNDERSTAND THEM BEFORE REGISTERING FOR A BULLDOG WALLET. THESE TERMS OF USE AFFECT YOUR LEGAL RIGHTS AND INCLUDE A WAIVER OF YOUR RIGHT TO A JURY TRIAL AND RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR ARBITRATION. ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OF USE, YOUR USE OF THE SERVICES, OR ANY RELATIONSHIP BETWEEN THE PARTIES SHALL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION. 1. Introduction 1.1. We, Bulldog Gaming, LLC (“Bulldog”, “our” or “we”), offer an electronic system consisting of a single-sign on service which enables you to create and access a digital account (the “Bulldog Wallet”), accessible using the same login data at multiple participating gaming establishment locations and mobile applications, to load and spend your winnings from coin operated amusement machines (“COAMs”). 1.2 You may redeem and load your COAM winnings to your Bulldog Wallet by using a Bulldog kiosk (a self-service gift card redemption device) to redeem Bulldog digital gift cards (“Bulldog Cards”) located on the premises of your participating gaming establishment location. Each individual Bulldog Card will be stored as a singular card in the Bulldog Wallet but will be reflected as an aggregate amount (“Bulldog Wallet Balance”). 1.3. You may update and manage your Bulldog Wallet which includes your personal details and preferences through https://bulldogwallet.com/. 2. Terms and Conditions 2.1. By registering for a Bulldog Wallet, you are agreeing to be bound by Bulldog Wallet Terms and Conditions (the “Terms”). If you do not wish to be bound by these Terms, please do not register for a Bulldog Wallet. 2.2. We may revise these Terms and any of the policies listed above from time to time. 2.3. We reserve the right to amend these Terms at any time without notice, subject to applicable law. By continuing to use our services after any changes to this user agreement become effective, you agree to abide and be bound by those changes. If you do not agree with any changes to these Terms, you may close your account. 2.4. The Terms shall remain in effect until you terminate your Bulldog Wallet. 3. Use of Your Bulldog Wallet 3.1. You may use your Bulldog Wallet Balance to obtain COAM play at participating gaming establishments, or to purchase eligible products offered for sale through the Bulldog Kiosk at participating gaming establishment locations. 3.2 Bulldog Wallet Balances may only be used for noncash redemption purposes only. They may not be converted into cash, change, or currency. Bulldog Wallet Balances will not be given to you in the form of currency or change, nor can you convert or transfer any balances stored in your Bulldog Wallet directly to cash. 3.3 Your Bulldog Wallet is provided free of charge and for domestic and private use only. You shall not use your Bulldog Wallet for any commercial, business or re-sale purpose and we have no liability to you for any business losses whatsoever. 3.4. You warrant that you will not: 3.4.1. Use the Bulldog Wallet in a manner inconsistent with the Terms or in any way that violates any local, national, or international laws or regulations; 3.4.2. Permit anyone else to use your Bulldog Wallet or attempt to gain access to another user’s account; 3.4.3. Attempt to circumvent or compromise any security measures; 3.4.4. Create or control more than one Bulldog Wallet for yourself without our express authorization through, among other methods, using a name that is not yours, using a temporary email address or phone number, or providing any other falsified personal information; 3.4.5. Act in a manner that is defamatory, trade libelous, threatening or harassing; 3.4.6. Provide false, inaccurate or misleading information to us; 3.4.7. Refuse to cooperate in an investigation or provide confirmation of your identity or any information you provide to us; 3.4.8. Facilitate any viruses, trojan horses, malware, worms or other computer programming routines that attempts to or may damage, disrupt, corrupt, misuse, detrimentally interfere with, surreptitiously intercept or expropriate, or gain unauthorized access to any system, data, information or service; 3.4.9. Harass and/or threaten our employees, agents, or other users. 3.4.10. Resell or repurpose your Bulldog Wallet; 3.4.11. Infringe our intellectual property rights or those of any third party in relation to your use of the Bulldog Wallet; or 3.4.12 Create or use a Bulldog Wallet if you are younger than 18 years old. 3.5. In the event you breach any of these Terms or we suspect misuse of your login details or your Bulldog Wallet, we shall have the right to: 3.5.1. Suspend or terminate your Bulldog Wallet and deny you access to any of our websites, systems, channels or applications; 3.5.2. Refuse to provide services to you in the future; or 3.5.3. Take legal action against you. 3.6. If we do not enforce our rights against you, or we delay in doing so, that does not mean we have waived our rights or that you do not have to comply with any of your obligations, either in the instant case or in the future. 3.7 Limitations may be placed on your Bulldog Wallet account when we notice restricted activities or activity that appears to us as unusual or suspicious. 3.8. We are entitled to immediately terminate your Bulldog Wallet if we stop providing the Bulldog Wallet for any reason. 3.9. BY REGISTERING FOR A BULLDOG WALLET, YOU EXPRESSLY AUTHORIZE US TO USE YOUR ACCOUNT INFORMATION, INCLUDING YOUR NAME, ADDRESS, PHONE NUMBER, LOGIN AND ANY OTHER INFORMATION CONTAINED IN YOUR BULLDOG WALLET, TO SEND YOU PROMOTIONAL MATERIALS AND UPDATES THROUGH ELECTRONIC MAIL, PHYSICAL MAIL, SMS TEXT MESSAGES, OR OTHER METHOD OF COMMUNICATION IN ACCORDANCE WITH OUR PRIVACY POLICY LOCATED HERE [http://www.bulldogwallet.com/legal/bulldog_privacy_policy.pdf]. TO OPT OUT OF THESE PROMOTIONAL MATERIALS, PLEASE CONTACT US BY PHONE: (404) 941-3204. 3.9.1 By registering for a Bulldog Wallet, you expressly authorize us to provide your account information, including your name, address, phone number, login and any other information contained in your Bulldog Wallet, to any participating locations in order to allow your account to be used in their systems in accordance our Privacy Policy. 3.10. We, in our sole discretion, reserve the right to suspend or terminate these Terms (and any amendments or subsequent agreements), your access to or use of our websites, software, systems (including any networks and servers used to provide any of the Bulldog Wallet services) operated by us or on our behalf or some or all of the Bulldog Wallet services for any reason. 4. Registration and Availability 4.1. The personal information you provide upon registration must be true and correct and you must update such information in the event it changes. Creating a Bulldog Wallet requires you to create a confidential login PIN. Please keep all login details confidential and do not disclose your login details to anyone to prevent unauthorized use of your Bulldog Wallet. 4.2. We reserve the right to refuse registrations for a Bulldog Wallet on a case by case basis in our sole discretion, for any reason whatsoever. 4.3. While we shall use our reasonable endeavors to maintain services and communications, and keep content up to date, we are unable to guarantee the accessibility of any of our websites, channels or applications, nor do we make any promises about the accuracy or completeness of the content or information contained within. 4.4. We may make changes to the Bulldog Wallet and may modify or discontinue (on a temporary or permanent basis) certain functions of the service, including the termination of the Bulldog Wallet in its entirety. If these changes are not acceptable to you, you may close your Bulldog Wallet at any time. 4.5. If we are notified of a court order or other legal process (including garnishment or any equivalent process) affecting you, or if we otherwise believe we are required to do so in order to comply with applicable law or regulatory requirements, we may be required to take certain actions, including, placing a hold or limitation on your Bulldog Wallet account, or terminating your Bulldog Wallet account. We will decide, in our sole discretion, which action is required of us. We do not have an obligation to contest or appeal any court order or legal process involving you or your Bulldog Wallet account. When we implement a hold or limitation as a result of a court order, applicable law, regulatory requirement or other legal process, the hold or limitation may remain in place longer than 180 days. 5. Intellectual Property 5.1. All intellectual property rights including, to the extent applicable, copyright, trademarks, design rights, patents or other intellectual property rights whether registered or not, covering the Bulldog Wallet or Bulldog websites (including any and all content displayed or transmitted by such items), and any technology used to provide the Bulldog Wallet, are exclusively owned by Bulldog. 5.2. Except for use of your Bulldog Wallet in accordance with these Terms, you are granted no rights to use or, without limitation, copy, modify, transmit, distribute, display, reproduce, publish, license or in any way use any of the intellectual property contained within any of our websites, channels, or applications without our prior written consent. 6. Limitations of Liability To the extent permitted by applicable law, Bulldog Wallet is not liable, and you agree not to hold Bulldog Wallet responsible, for any damages or losses (including, but not limited to, loss of money, goodwill, or reputation, profits, or other intangible losses or any special, indirect, or consequential damages) resulting directly or indirectly from: (1) your use of, or inability to use, our websites, software, systems (including any networks and servers used to provide any of the services) operated by us or on our behalf, or any of the Bulldog Wallet services; (2) delays or disruptions in our websites, software, systems (including any networks and servers used to provide any of the Bulldog Wallet services) operated by us or on our behalf and any of the Bulldog Wallet services; (3) viruses or other malicious software obtained by accessing our websites, software, systems (including any networks and servers used to provide any of the Bulldog Wallet services) operated by us or on our behalf or any of the Bulldog Wallet services or any website or service linked to our websites, software or any of the Bulldog Wallet services; (4) glitches, bugs, errors, or inaccuracies of any kind in our websites, software, systems (including any networks and servers used to provide any of Bulldog Wallet services) operated by us or on our behalf or any of the Bulldog Wallet services or in the information and graphics obtained from them; (5) the content, actions, or inactions of third parties; (6) a suspension or other action taken with respect to your Bulldog Wallet account; or (7) your need to modify practices, content, or behavior, or your loss of or inability to do business, as a result of changes to this user agreement or our policies. IN NO EVENT WILL BULLDOG AND ITS AFFILIATES’ COLLECTIVE AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THESE TERMS OR THEIR SUBJECT MATTER, UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, AND OTHERWISE, EXCEED $100. 7. Disclaimer of Warranty and Release The Bulldog Wallet is provided on an “as-is” and “as available” basis without any representations or warranties of any kind, whether express, implied or statutory. We specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that Bulldog Wallet will be error free or continuously available. The Bulldog Wallet may be subject to periods of disruption and/or downtime during periods of maintenance or modification, or interruption to third party media and communications. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimers may not apply. YOU EXPRESSLY AGREE THAT YOUR USE OF THE BULLDOG WALLET IS AT YOUR SOLE RISK. THE BULLDOG WALLET IS PROVIDED “AS IS” AND “AS AVAILABLE” FOR YOUR USE, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, UNLESS SUCH WARRANTIES ARE LEGALLY INCAPABLE OF EXCLUSION. WE MAKE NO REPRESENTATIONS OR WARRANTIES THAT THE BULLDOG WALLET WILL REMAIN UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED OR THAT THE WEB PAGES OR APPLICATIONS ACCESSED THROUGH THE BULLDOG WALLET, ARE OR WILL REMAIN FREE FROM ANY VIRUSES, WORMS, TIME BOMBS, DROP DEAD DEVICES, TROJAN HORSES OR OTHER HARMFUL COMPONENTS. BULLDOG DOES NOT GUARANTEE THAT YOU WILL BE ABLE TO ACCESS OR USE THE BULLDOG WALLET AT TIMES OR LOCATIONS OF YOUR CHOOSING, OR THAT BULLDOG WILL HAVE ADEQUATE CAPACITY FOR THE BULLDOG WALLET AS A WHOLE OR IN ANY SPECIFIC GEOGRAPHIC AREA. 8. Agreement to Arbitrate and Class Waiver ANY DISPUTE ARISING FROM THE TERMS OR THE RELATIONSHIP OF THE PARTIES SHALL BE RESOLVED BY BINDING ARBITRATION, WHICH REPLACES THE RIGHT TO GO TO COURT. ANY DISPUTE OR CLAIM SHALL BE BROUGHT SOLELY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, REPRESENTATIVE PROCEEDING, MASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR CONSOLIDATED ACTION. IN ADDITION, THIS SECTION PROHIBITS YOUR ABILITY TO BE PART OF ANY CLASS ACTION OR OTHER REPRESENTATIVE ACTION BROUGHT BY ANYONE ELSE, AND PROHIBITS YOUR ABILITY TO BE REPRESENTED IN A CLASS ACTION OR OTHER REPRESENTATIVE ACTION. IF NOT FOR THIS AGREEMENT, YOU MAY HAVE OTHERWISE HAD A RIGHT TO PARTICIPATE OR BE REPRESENTED IN A CASE FILED IN COURT BY OTHERS (INCLUDING CLASS ACTIONS AND OTHER REPRESENTATIVE ACTIONS) AND YOU AND WE MAY OTHERWISE HAVE HAD A RIGHT TO BRING CLAIMS IN A COURT BEFORE A JUDGE OR JURY. Notwithstanding anything herein to the contrary, you retain the right to pursue any Claim in a small claims court and proceed on an individual basis for any such Claim that is within the court’s jurisdiction. 9. Other important terms 9.1. Each of the provisions in these Terms operates separately. If any provisions are determined to be illegal, invalid or otherwise unenforceable then the remaining provisions shall remain in full force and effect. 9.2. You may not transfer or assign any rights or obligations you have under this user agreement without our prior written consent. We may transfer or assign this user agreement or any right or obligation under this user agreement at any time. 9.3. You authorize us, directly or through third parties, to make any inquiries we consider necessary to verify your identity. This may include: 9.3.1. Asking for further information, such as date of birth, a social security or taxpayer identification number, physical address and other information that will allow us to reasonably identify you; 9.3.2. Requiring steps to confirm ownership of an email address or phone number; 9.3.3. Ordering a credit report from a credit reporting agency, or verifying your information against third party databases or through other sources; or 9.3.4. Requiring you to provide a driver’s license or other identifying documents. 9.4. These Terms are governed by the laws of the State of Georgia. Subject to the provisions of the Arbitration Section set forth above, you agree and hereby submit to the exclusive personal jurisdiction and venue of the state or federal courts in the State of Georgia, with respect to such matters.
